1. Acceptance of Terms

Welcome to GiftTulip.com. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and GiftTulip.com (“we,” “our,” or “us”) governing your access to and use of our website GiftTulip.com and all related services (collectively, the “Platform”).

By registering for an account, accessing, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety, along with our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to update these Terms at any time. Continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

2. Eligibility

To use the Platform, you must meet all of the following requirements:

• You must be at least 18 years of age.

• You must be a human individual — accounts registered by bots, scripts, or automated methods are not permitted.

• You must have the legal capacity to enter into a binding agreement.

• You must not have been previously suspended or removed from the Platform by us.

• Your use of the Platform must not violate any applicable law or regulation in your jurisdiction.

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements. We reserve the right to suspend or terminate your account if we discover you do not meet these requirements, without notice and without refund.

3. How the Platform Works

GiftTulip.com is a unique dating platform built around the concept of gift-giving on first dates. By joining, all users acknowledge and agree to the following platform mechanics:

3.1 The GiftTulip Concept

GiftTulip.com is designed so that both men and women who sign up are willing to bring a gift to their first date. By creating an account, you affirm that you understand and embrace this concept as part of the platform experience.

3.2 Profile Browsing Rules

• Female users may freely browse the profiles of male users on the Platform.

• Male users may only view the profiles of female users who have first sent them a “like” or expression of interest.

• These browsing restrictions are a core feature of the Platform and are subject to change at our discretion.

3.3 Communication

• Free users have access to basic platform features including profile creation and receiving likes.

• Premium subscribers may send direct messages to other users via WhatsApp or email.

• Male premium subscribers may only initiate direct contact with female users who have liked them first.

• Female premium subscribers may initiate direct contact with male users they are interested in.

• All communication conducted outside the Platform (via WhatsApp or email) is solely the responsibility of the individual users involved. We are not responsible for the content, conduct, or consequences of off-platform communications.

4. Account Registration and Security

To access most features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.

• Maintain and promptly update your account information to keep it accurate and complete.

• Keep your password confidential and not share it with any third party.

• Notify us immediately at hell@gifttulip.com if you suspect unauthorized access to your account.

• Accept responsibility for all activity that occurs under your account.

We reserve the right to refuse registration or cancel an account at our sole discretion, including where we believe information provided is inaccurate, misleading, or in violation of these Terms.

5. User Conduct and Prohibited Activities

By using the Platform, you agree to conduct yourself in a respectful and lawful manner at all times. You agree that you will NOT:

• Create a false identity, impersonate any person, or misrepresent your identity or affiliation with any person or entity.

• Post content that is false, misleading, defamatory, obscene, pornographic, threatening, harassing, hateful, racially or ethnically offensive, or otherwise objectionable.

• Upload photos or media that do not belong to you or that you do not have the right to use.

• Solicit money, financial information, or gifts from other users on the Platform.

• Engage in any form of harassment, stalking, bullying, or intimidation of other users.

• Use the Platform for any commercial purpose, advertising, solicitation, or spam without our prior written consent.

• Attempt to scrape, crawl, or extract data from the Platform by automated means.

• Interfere with or disrupt the integrity or performance of the Platform or its servers.

• Attempt to gain unauthorized access to any portion of the Platform or any other accounts.

• Use the Platform to distribute malware, viruses, or any other harmful software.

• Engage in any activity that violates applicable local, national, or international laws or regulations.

• Use the Platform if you are a registered sex offender or have been convicted of a violent crime.

Violation of these rules may result in immediate suspension or permanent termination of your account, without notice and without refund. We reserve the right to report unlawful conduct to appropriate authorities.

6. User Content

6.1 Your Content

You retain ownership of all content you submit, post, or upload to the Platform (“User Content”). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and modify your User Content solely for the purpose of operating and improving the Platform.

6.2 Content Standards

You are solely responsible for all User Content you submit. You represent and warrant that your User Content does not infringe any third-party rights and complies with these Terms and all applicable laws. We do not endorse any User Content and expressly disclaim all liability in connection with User Content.

6.3 Content Removal

We reserve the right, but are not obligated, to monitor, review, edit, or remove any User Content at our sole discretion and without notice, for any reason including if we believe it violates these Terms or may expose us or others to liability.

7. Premium Subscriptions and Payments

7.1 Premium Features

GiftTulip.com offers a Premium subscription that unlocks additional features, including the ability to send direct messages to other users via WhatsApp or email, subject to the platform’s communication rules described in Section 3.3.

7.2 Subscription Billing

Premium subscriptions are billed on a weekly basis. By subscribing, you authorize us to charge the applicable subscription fee to your chosen payment method at the start of each billing cycle. Subscriptions automatically renew each week unless cancelled by you prior to the renewal date.

7.3 Price Changes

We reserve the right to change our subscription pricing at any time. We will provide reasonable notice of any price changes. Your continued use of the Premium subscription after a price change takes effect constitutes your acceptance of the new price.

7.4 Payment Processing

All payments are processed through secure third-party payment processors. We do not store your full payment card details. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for all fees incurred.

8. Cancellation and Refund Policy

8.1 Cancellation

You may cancel your Premium subscription at any time by visiting your Membership page within your account settings on GiftTulip.com. Cancellation takes effect at the end of your current weekly billing cycle. You will continue to have access to Premium features until the end of the paid-for period.

8.2 No Refunds

ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. This includes but is not limited to:

• Partial weeks or unused days remaining in a billing cycle after cancellation.

• Cases where you did not make use of your Premium features during the billing period.

• Cases where your account was suspended or terminated due to a violation of these Terms.

• Any change of mind after a subscription payment has been processed.

By subscribing to a Premium plan, you expressly acknowledge and agree that all payments are final and non-refundable. This no-refund policy is a material term of these Terms and applies to the fullest extent permitted by applicable law.

8.3 Exceptions

Notwithstanding the above, we may, at our sole and absolute discretion, consider refund requests in exceptional circumstances, such as duplicate charges caused by a technical error on our end. 9. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to the GiftTulip.com name, logo, design, text, graphics, software, and code — are the exclusive property of GiftTulip.com and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Platform without our express prior written consent.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement.

• Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses or harmful components.

• Any warranty regarding the accuracy, completeness, or reliability of any content on the Platform, including user profiles.

We do not guarantee that you will find a match, establish a romantic connection, or have any particular outcome from using the Platform. Dating involves inherent risks and uncertainties, and we are not responsible for the actions, behavior, or conduct of any user, whether online or offline.

We strongly encourage all users to exercise caution and good judgment when interacting with other users, especially when meeting in person. Always meet in public places and inform a trusted person of your plans.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIFTTULIP.COM AND ITS OWNERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

• Your use of or inability to use the Platform.

• Any conduct or content of other users on or off the Platform.

• Unauthorized access to or alteration of your account or data.

• Any other matter relating to the Platform.

In no event shall our total cumulative liability to you for any claims arising out of or related to these Terms or the Platform exceed the total amount you paid us in the twelve (12) months preceding the claim, or USD $100, whichever is greater.

12. Indemnification

You agree to defend, indemnify, and hold harmless GiftTulip.com and its owners, directors, employees, agents, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform.

• Your User Content.

• Your violation of these Terms.

• Your violation of any applicable law or the rights of any third party.

13. Third-Party Services and Links

The Platform may contain links to or integrations with third-party services, including WhatsApp and email providers used for premium communications. These third-party services are governed by their own terms and privacy policies, and we are not responsible for their content, practices, or availability.

Your interactions with third-party services are solely between you and that third party. We encourage you to review the terms and privacy policies of any third-party services you use in connection with our Platform.

14. Account Termination

14.1 Termination by You

You may delete your account at any time through your account settings. Deletion of your account does not entitle you to any refund of subscription fees paid.

14.2 Termination by Us

We reserve the right to suspend, restrict, or permanently terminate your account at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our community guidelines.

• Conduct that we determine, in our sole discretion, is harmful to other users, third parties, or the Platform.

• Extended periods of inactivity.

• Requests from law enforcement or regulatory authorities.

Termination of your account by us for cause does not entitle you to any refund. Upon termination, your right to use the Platform ceases immediately.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any dispute arising out of or in connection with these Terms or the Platform shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, either party may pursue their available legal remedies. For any disputes, please first contact us at hell@gifttulip.com so we may attempt to resolve the matter informally.

16. Severability and Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

These Terms, together with our Privacy Policy and any other policies posted on the Platform, constitute the entire agreement between you and GiftTulip.com with respect to your use of the Platform, and supersede all prior agreements, understandings, or representations.
